How to set up in Hong Kong

1

Choose your name & structure

A private company limited by shares is the standard vehicle for foreign founders.

2

Appoint your director(s) and a company secretary

At least one director (a foreigner qualifies) and a mandatory company secretary β€” a HK-resident individual or a licensed TCSP.

3

Engage a licensed TCSP to file

A licensed Trust or Company Service Provider files your incorporation (Form NNC1) with the Companies Registry.

4

Obtain your certificates & open a bank account

Receive your Certificate of Incorporation and Business Registration Certificate (from the IRD), then open a business account.

Budget for a licensed TCSP to handle incorporation and the mandatory company secretary. Note that most active Hong Kong companies must file an annual audit prepared by a Hong Kong CPA.

Questions founders ask

Can a foreigner be the director of a Hong Kong company?

Yes. Hong Kong has no residency requirement for directors β€” a foreign founder can be the sole director.

Do I need a local company secretary?

Yes. Every company must appoint a company secretary who is a Hong Kong-resident individual or a licensed TCSP corporate entity. A sole director cannot also be the secretary.

Is an annual audit required?

Yes. Except for dormant companies, financial statements must be audited annually by a Hong Kong CPA and filed with the profits tax return.

How long does setup take?

Incorporation is fully remote and commonly completes within one to two business days once KYC is ready.
